Upon full payment of all invoiced amounts, clients receive full ownership of final deliverables produced specifically for them. Gas Noir Digital retains the right to display finished work in our portfolio and marketing materials unless otherwise agreed in writing. Ownership does not transfer for licensed assets, stock media, or third-party software embedded in deliverables.
All services are governed by separate written agreements (proposals, contracts, or statements of work) executed between Gas Noir Digital and the client. In the event of a conflict between these Terms and a signed service agreement, the service agreement takes precedence.
Payment terms are outlined in each individual service agreement. Unless otherwise stated, invoices are due within the timeframe specified. Late payments may result in a pause of services and may accrue interest at 1.5% per month or the maximum rate permitted by law.
Cancellation terms are defined in each service agreement. Generally, work completed prior to cancellation is billable. Deposits and retainers are non-refundable except where explicitly stated in the service agreement. Unused portions of prepaid retainers are not automatically refunded.
Gas Noir Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to our services shall not exceed the amount you paid us in the 90 days preceding the claim.
Our website and services are provided "as is" without any warranties, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific results from our services, though we commit to applying our full expertise and effort to every engagement.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We reserve the right to modify these Terms at any time. We will indicate the date of last update at the top of this page. Continued use of our website after changes constitutes acceptance of the revised Terms.
